PLEASE READ SECTION 16 CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION RATHER THAN IN COURT, AND IT WAIVES YOUR RIGHT TO A JURY TRIAL AND TO TAKE PART IN A CLASS ACTION. YOU MAY OPT OUT AS DESCRIBED IN SECTION 16.
These Terms of Service ("Terms") apply to your use of zip-nest.shop (the "Store"), operated as ZipNest, and to every purchase you make from it. "We", "us" and "our" mean the operator of the Store, contactable at the details in section 19. By using the Store or placing an order, you agree to these Terms, our Shipping Policy, our Refund Policy and our Privacy Policy, which form part of these Terms. If you do not agree, do not use the Store.
1. Who can buy
You must be at least 18 years old, or the age of majority where you live, to place an order. We sell only to customers with a shipping address in the 50 U.S. states or Washington, D.C. Products are sold for personal use, not for resale.
2. Products and descriptions
We describe and show our products as accurately as we can. Colors can look different on different screens, and sizes and measurements are approximate. Photos may show the product styled or with items that are not included; the product description lists what is included. Packaging may differ from what is shown. It is your responsibility to read the product description before ordering.
3. Prices and payment
- Prices are shown in the currency displayed at checkout. If that is not your card's currency, your bank may apply its own exchange rate or fees.
- The price that applies is the one shown at checkout when you place your order, including any bundle or discount applied there.
- We may change prices, offers and products at any time. Changes do not affect orders already confirmed.
- If a product is listed at an obviously incorrect price because of an error, we may cancel the order and refund you in full, even after you receive an order confirmation.
- Payments are processed by our payment providers. We do not store your full card details.
4. Orders
Your order is an offer to buy. Our confirmation email confirms that we received it; the contract is formed when we ship the order. We may refuse or cancel any order, or limit quantities, for example if a product is out of stock, we suspect fraud, the shipping address is outside the area we serve, or an order breaks these Terms. If we cancel an order you have paid for, we refund you in full.
5. Shipping, delivery and risk of loss
Shipping is governed by our Shipping Policy. Delivery dates are estimates, not guarantees. Risk of loss passes to you when the carrier confirms delivery to the shipping address you provided.
6. Returns and refunds
Returns are governed by our Refund Policy. All sales are final once the product packaging has been opened, and items damaged or misused by the customer are not refundable. Items that arrive damaged, defective, incorrect or incomplete must be reported within 72 hours of delivery as described in that policy.
7. Chargebacks
You agree to contact us and give us a reasonable opportunity to resolve any problem with an order before filing a payment dispute or chargeback. If you file a dispute, we may share your order details, delivery records, communications and the policies you accepted with your bank or card issuer. We may decline future orders from customers who file disputes for orders delivered as described or not eligible for a refund.
8. Product use and assumption of risk
Use products only for their intended purpose and follow any care instructions. You use products at your own risk. We are not responsible for damage or injury caused by misuse, overloading, alteration, accidents or normal wear and tear.
9. Warranty disclaimer
Except as expressly stated in our Refund Policy, and to the fullest extent permitted by law, products are provided "AS IS" and we make no other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose. Some states do not allow certain warranty exclusions, so some of these exclusions may not apply to you. Nothing in these Terms limits rights you have under laws that cannot be waived.
10. Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, punitive or consequential damages, including lost profits, missed travel or delivery delays, arising from your use of the Store or any product. Our total liability for any claim relating to an order is limited to the amount you paid for that order. Some states do not allow these limits, so they may not apply to you.
11. Indemnity
To the extent permitted by law, you agree to indemnify and hold us harmless from claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of a product, or a fraudulent payment dispute.
12. Your account and conduct
You are responsible for keeping your account details secure and for the accuracy of the information you give us. You agree not to use the Store for any unlawful purpose, to interfere with its security or operation, to place fraudulent orders, or to scrape, copy or resell its content.
13. Reviews and content you submit
If you send us a review, photo, comment or other content, you confirm it is your own and truthful, and you give us a non-exclusive, royalty-free license to use, display and reproduce it in connection with the Store. We may decline or remove content at our discretion.
14. Intellectual property
The Store's text, design, graphics and images belong to us or our licensors and may not be copied or used without our written permission.
15. Third-party services
The Store runs on Shopify and uses third-party payment providers and carriers, which have their own terms. We are not responsible for third-party websites or services linked from the Store.
16. Dispute resolution and arbitration
a. Contact us first. Before starting any claim, you agree to email us at cloudsleeper0@gmail.com with your name, order number and a description of the issue and the outcome you want, and to give us 30 days to resolve it informally.
b. Binding individual arbitration. If we cannot resolve it, you and we agree that any dispute arising from these Terms, the Store or any product will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs this section. Arbitration may be conducted by video, phone or written submissions; any in-person hearing will take place in the U.S. county where you live. Fees are allocated as the AAA Consumer Arbitration Rules provide.
c. Exceptions. Either of us may bring an individual claim in small claims court if it qualifies, and either of us may seek court relief to protect intellectual property.
d. Class action and jury trial waiver. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, collective or representative proceeding. You and we each waive the right to a jury trial.
e. Opt-out. You may opt out of this arbitration agreement by emailing us within 30 days of your first purchase with your name, order number and a clear statement that you opt out. Opting out does not affect the rest of these Terms.
f. Severability. If the class action waiver is found unenforceable for a claim, this arbitration agreement does not apply to that claim, which will be decided in court.
17. Governing law
Except for section 16, which is governed by the Federal Arbitration Act, these Terms are governed by the laws of the Republic of Kosovo. This does not remove any protection you have under the mandatory consumer protection laws of the U.S. state where you live.
18. Changes and general terms
We may update these Terms from time to time; the version posted when you place an order applies to that order. If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. These Terms, together with the policies named above, are the entire agreement between you and us about the Store.
